Welcome to AigcMind! These Terms of Service ("Terms") govern your use of our website, applications, and services (collectively, the "Services"). By accessing or using our Services, you agree to comply with these Terms. If you do not agree, please do not use our Services.

1. Acceptance of Terms

By accessing, browsing, or using AigcMind or any of our associated services, you confirm that you have read, understood, and agreed to these Terms. We reserve the right to update these Terms at any time without prior notice. Your continued use of our Services after such modifications constitutes your acceptance of the revised Terms. It is your responsibility to review them periodically.

2. Eligibility

To use our Services, you must be at least 18 years old or have legal parental or guardian consent. By using AigcMind, you represent and warrant that you meet these requirements and that you have the legal capacity to enter into binding contracts.

3. Use of Services

You agree to use AigcMind only for lawful purposes and in accordance with these Terms. You shall not:

  • Use our Services for fraudulent, harmful, deceptive, or illegal activities
  • Attempt to disrupt, damage, or interfere with our platform or circumvent any security measures
  • Violate any applicable laws, regulations, or third-party rights
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to access data not intended for you or test the vulnerability of our systems
  • Engage in excessive usage that may negatively impact other users or our infrastructure

4. User Accounts

If you create an account on AigcMind, you are responsible for:

  • Maintaining the confidentiality and security of your login credentials
  • All activities that occur under your account
  • Providing accurate and complete information when creating your account
  • Promptly updating any changes to your information
  • Notifying us immediately of any unauthorized access or security breaches

We reserve the right to disable any user account if we believe you have violated these Terms.

All content, trademarks, patents, service marks, and proprietary information on AigcMind, including but not limited to text, graphics, software, logos, and algorithms, are owned by us or our licensors.

You may not:

  • Copy, reproduce, or distribute any content without our express written permission
  • Modify, create derivative works, or reverse engineer our Services
  • Remove or alter any copyright, trademark, or other proprietary notices
  • Use our name, logo, or trademarks without our prior written consent

Limited license

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for their intended purposes.

6. User Content

You retain ownership of any content you submit, post, or display on or through our Services ("User Content").

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content solely for the purpose of operating and providing the Services.

You represent and warrant that:

  • You own or have the necessary rights to the User Content you provide
  • Your User Content does not violate the rights of any third party
  • Your User Content complies with these Terms and all applicable laws

We reserve the right to remove any User Content that violates these Terms or that we find objectionable for any reason.

AI-Generated Content

Our Services include features that generate text, audio, code, and other content using artificial intelligence – including but not limited to voice conversations, agent responses, and AI assistant chats. By using these features, you acknowledge and agree to the following:

AI may be wrong.

AI-generated content can be inaccurate, incomplete, biased, or out of date. Do not rely on it for medical, legal, financial, safety-critical, or professional advice. Always verify important facts through authoritative sources and qualified human experts.

No professional advice.

Our AI features do not provide and are not a substitute for professional advice. If you are facing a medical emergency, legal matter, financial decision, mental-health crisis, or any safety-critical situation, contact a qualified human professional or, in an emergency, your local emergency services.

Prohibited uses.

You agree not to use our AI features to:

  • Generate content that depicts minors in any sexual context
  • Generate content that incites violence, terrorism, hatred, or unlawful discrimination
  • Produce malicious code, phishing material, or other content designed to harm computer systems, networks, or users
  • Impersonate real people without consent in a way that would deceive a reasonable person, including for fraud or harassment
  • Generate content that infringes intellectual property, violates privacy, or violates applicable export-control or sanctions laws
  • Make medical, legal, financial, or safety-critical decisions on behalf of others without independent human review
  • Circumvent our safety mechanisms, content filters, rate limits, or attempt to extract our prompts or training data
  • Use any voice generated by our Services to deceive, harass, defame, or impersonate any individual

Reporting bad responses.

If any AI-generated response is harmful, inaccurate, offensive, or otherwise inappropriate, please report it by sending the conversation context to support@aigcmind.ai. We review every report and may remove content, suspend offending accounts, or update safety mechanisms in response.

Moderation and enforcement.

We use a combination of automated classifiers and human review to detect and prevent prohibited uses. We may, without notice: filter or refuse to generate certain content, end an active session, suspend or terminate accounts, and cooperate with law enforcement when legally required. Accounts that repeatedly attempt prohibited uses or that submit abusive reports may be banned.

No expectation of confidentiality.

Conversations with our AI Services may be reviewed by our automated safety systems and, in rare cases involving suspected prohibited use, by human reviewers under strict access controls. Do not submit information you would not want potentially reviewed under these limited circumstances.

7. Subscription and Payments

Some of our Services may require payment or subscription. By subscribing to paid Services:

  • You agree to pay all fees and charges associated with your account on a timely basis
  • You authorize us to charge your designated payment method
  • You acknowledge that prices and features may change
  • You understand that subscriptions automatically renew unless canceled prior to the renewal date

Cancellation.

You may cancel your subscription at any time through your account settings or by contacting us at support@aigcmind.ai. Cancellation takes effect at the end of the current billing period, and you will retain access until then. No refunds are provided for partial billing periods.

Taxes.

All fees are exclusive of applicable taxes, which you are responsible for paying. We may add applicable taxes to your invoice based on your billing address.

Price changes.

We may change our fees upon at least thirty (30) days' prior notice. If you do not agree to the new fees, you may cancel your subscription before the change takes effect. Continued use after the effective date constitutes acceptance of the new fees.

Free trials.

If we offer a free trial, you may use the Services without charge during the trial period. To avoid being charged, you must cancel before the trial ends. Unused portions of free trials are not refundable.

Refunds are handled in accordance with our Refund Policy.

8. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT:

  • The Services will be uninterrupted, secure, error-free, or available at any particular time
  • The results obtained from using the Services will be accurate, reliable, or complete
  • Any errors or defects in the Services will be corrected
  • AI-generated content will be accurate, appropriate, or suitable for your use case

YOU USE THE SERVICES SOLELY AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

THE FOREGOING LIMITATIONS APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE).

10. Service Modifications

We reserve the right to modify, suspend, or discontinue the Services (or any features thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

We may also impose limits on certain features of the Services or restrict access to parts or all of the Services without notice or liability.

11. Third-Party Services

The Services may contain links to or integrations with third-party websites, applications, services, or content that we do not own or control. We are not responsible for the practices or content of these third parties, and you access and use them at your own risk.

We do not endorse and are not liable for any third-party services, and your interactions with any third parties are solely between you and the third party. We encourage you to review the terms and privacy policies of any third-party services you use.

12. Indemnification

You agree to indemnify, defend, and hold harmless our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of our Services
  • Your violation of these Terms
  • Your infringement of any third-party rights

13. Termination

We reserve the right to suspend or terminate your access to AigcMind and its associated services at any time, with or without cause and with or without notice.

Upon termination:

  • Your right to access and use our Services will cease immediately
  • We may delete your account and all associated data
  • Any provisions of these Terms that by their nature should survive termination shall survive

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

You and we agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Services.

Mandatory local laws.

Notwithstanding the above, if you are a consumer residing in a jurisdiction with mandatory consumer protection laws (such as the EU GDPR, California CCPA/CPRA, or other local consumer protection statutes), those mandatory provisions shall apply to you to the extent required by such laws, regardless of the governing law specified herein. Nothing in these Terms limits any rights you may have under mandatory local laws that cannot be waived by contract.

15. Dispute Resolution

Informal resolution.

Before filing a claim, both parties agree to first attempt to resolve any dispute informally by sending a written notice of the dispute to the other party and engaging in good-faith discussions for at least thirty (30) days.

Arbitration.

Any dispute that cannot be resolved informally shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware, in English, by a single arbitrator.

Class action waiver.

You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class or representative proceeding.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions will continue in full force and effect.

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, if appropriate, by email. Your continued use of our Services after such modifications constitutes your acceptance of the revised Terms.
